1. Introduction:

BuzzyClub is an online membership service of Let’s Get Nasty LLC. collectively known as “BuzzyClub”, "we", or "us". These Terms and Conditions collectively known as Terms hereby control all use of our online services, and offline services provided on or in connection with any work done by an employee of BuzzyClub collectively known as “Membership”. 

These Terms and the agreement thereto, applies to all visitors, and users of the Membership, as well as the Privacy Policy and any future edition of these policies.All those who access the Membership shall classify as members ("Members") irrespective of whether they are approved to participate in the Membership.

The use of the Membership, either by access to the Membership by you or a representative of your company, or the process whereby a Member registers on behalf of a company, shall be intended to also bind that company to these Terms, as though the company itself was also a Member. For the purpose of the Terms, the registration of a company shall classify that company as a Member and bind it to the terms referred to herein. An individual accessing the Membership as a Member shall also have the requisite authority to act on behalf of the company that it is registering on behalf of, and shall not continue any further on the Membership should the individual not possess that requisite authority. The use of the term “You” or “Your” within these Terms and throughout the Membership shall also apply to the company whom you are representing.

BY ACCESSING OR USING THE MEMBERSHIP THROUGH ANY DIRECT OR INDIRECT MEANS, CLICKING ANY SUBMISSION BUTTON OR CREATING AN ACCOUNT, YOU SIGNIFY THAT YOU HAVE READ, 

UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, WHICH FORM A CONTRACT BETWEEN YOU AND BUZZYCLUB. YOU ALSO REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND ANY COMPANY THAT YOU REPRESENT IN USING THE SERVICE, AND UNDERSTAND THAT THE COMPANY THAT YOU REPRESENT SHALL BE RESPONSIBLE FOR COMPLYING WITH THE TERMS AND FOR A BREACH OF THIS AGREEMENT BY ANY OF ITS REPRESENTATIVES. YOU ALSO CONSENT TO THE COLLECTION AND USE OF YOUR INFORMATION AS SET FORTH IN THE BUZZYCLUB PRIVACY POLICY, WHETHER OR NOT YOU ARE AN APPROVED OR REGISTERED MEMBER OF OUR SERVICE.

The Terms shall also incorporate by reference all agreements and policies referred to herein, including the BuzzyClub Privacy Policy and other policies displayed by BuzzyClub or provided to you from time to time. 

In using the Membership, you agree that, in addition to these Terms, you will use the Membership in accordance with all applicable laws and regulations.

BuzzyClub may, in its sole discretion, modify or update these Terms, the Privacy Policy and any other policies from time to time, and so you should review this page, and those additional pages, on a frequent basis.. Your continued use of the Membership after any such change constitutes your acceptance of the revised Terms. If you do not agree to these Terms or any future Terms, do not use or access (or continue to access) the Membership.

PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THESE TERMS CONTAIN A MANDATORY ARBITRATION OF DISPUTES PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

2. The BuzzyClub Membership:

2.1 What Does BuzzyClub Do

BuzzyClub is a monthly membership that provides educational resources and tools that encompass media training digital lessons and videos, crisis training digital lessons and videos, pitching writing digital lessons and videos, media kit digital lessons and videos, pitch templates, press release templates, mock media interview questions, public relations and brand psychology flashcards, a live chat feature, live Q&A sessions within the platform, access to two 15 minute meetings (with a member of the BuzzyClub team) a month via Google Meets, access to a la carte 30 minute meetings (with a member of the BuzzyClub team) a month via Google Meets, access to a la carte one hour meetings (with a member of the BuzzyClub team) a month via Google Meets, access to a video library which includes all livestreams and tutorial videos recorded via Loom etc, and access to a digital bulletin board where PR events, media opportunities and more will be shared.

Members who join BuzzyClub will join for DIY PR purposes only, “DIY PR” meaning BuzzyClub will simply provide the tools to increase PR knowledge which encompasses media communication, asset creation and management, crisis communication, comms-related templates and original content and an online community. Members can join and use BuzzyClub at their convenience, tuning into lessons and lives and absorbing content on their own schedule. 

2.2 What Does BuzzyClub Not Do

BuzzyClub and any services provided does not represent its members in any capacity. BuzzyClub is a Membership owned by NASTY/CREATIVE but not related to it in any way. Members acknowledge that BuzzyClub does not act as their PR representation. Members are solely responsible for implementing strategies learned through the platform, outside of the platform. BuzzyClub will not carry out any PR services for its members aka sending out pitches to media, contacting potential partners, speaking on behalf of members should members encounter a PR crisis, etc. 

3. Membership Content and Proprietary Rights:

3.1 Member Content

The Membership allows Users to post content such as profile information, comments, questions, and other content or information (any such materials a Member submits, posts, displays, or otherwise makes available on the Membership “Member Content”). The Member Content you create remains yours; however, by sharing Member Content through the Membership, you agree to allow others to view, edit, and/or share your Member Content in accordance with your settings and this Agreement. BuzzyClub has the right (but not the obligation) in its sole discretion to remove any Member Content that is shared via the Membership.

You agree not to post Member Content that: (a) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (b) may create a risk of any other loss or damage to any person or property; (c) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (d) may constitute or contribute to a crime or tort; (e) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable; (f) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (g) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (h) contains any information or content that you know is not correct and current.

You also must not:

  • Undertake any conduct which interferes with or disrupts the operation of the Membership

  • Uses the information or details of other Members in a manner not expressly authorized by those Members, or the Membership;

  • Copy, collect, save information about other Members without consent from the Members themselves;

  • Sell, redistribute, or use information you access through the Membership for a commercial purpose without the prior written consent of BuzzyClub;

  • Market goods or services directly to other Members in a manner not contemplated by these Terms;

  • Introduce any malicious code or other program (including viruses, Trojan horses or worms) which may damage the Membership, or the computers or services of another Members or third party;

  • Stalk, harass or otherwise intimidate anyone;

  • Breach the trademark, copyright, patent or intellectual property rights of any party;

  • Make any misleading or deceptive statement, act, or omission through the Membership or otherwise;

  • Impersonate anyone or create a fictitious person or pseudonym/alternate identity;

  • Attempt to disassemble, decompile, decipher or otherwise reverse engineer the Membership (including any software or code comprising the Membership);

  • Undertake any activity which is considered, or is similar to, spam, unsolicited mass email; and

  • Distribute or publish any content, information or part of the Membership on any publicly accessible electronic network, including any online (worldwide web/internet) site, social media site, or any broadcast or publicly available forum.

You agree that any Member Content that you post does not and will not violate third party rights of any kind, including without limitation any Intellectual Property Rights (as defined below) or rights of privacy. BuzzyClub reserves the right, but is not obligated, to reject and/or remove any Member Content that BuzzyClub believes, in its sole discretion, violates these provisions. You understand that publishing your Member Content on the Membership is not a substitute for registering it with the U.S. Copyright Office, the Writer’s Guild of America, or any other rights organization.

BuzzyClub does not, nor are we under any obligation or duty to you or anyone else, to review, consider, monitor, evaluate, censor or remove any Member Content. BuzzyClub does not have (and expressly disclaims) any liability in connection with the Member Content.

For the purposes of these Terms, “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

3.2 Membership Content & Intellectual Property

All content, materials, and resources provided by BuzzyClub, including but not limited to articles, videos, templates, guides, and any other proprietary content, are the intellectual property of BuzzyClub and are protected by copyright laws. These materials are provided to members for personal, non-commercial use only.

Members are strictly prohibited from reproducing, distributing, or sharing BuzzyClub's resources, either in whole or in part, without prior written consent from BuzzyClub. This includes but is not limited to copying, modifying, adapting, translating, or creating derivative works based on BuzzyClub's content.

In the event of a member violating this provision, their membership will be immediately revoked, and access to BuzzyClub's resources will be terminated without notice. No refund or reimbursement of membership fees will be provided in such cases.

BuzzyClub reserves the right to pursue legal action against any individual or entity found to have infringed upon its intellectual property rights. This may include seeking damages, injunctive relief, and legal fees incurred in enforcing these terms.

By accessing and using BuzzyClub's resources, members acknowledge and agree to respect the intellectual property rights of BuzzyClub and comply with all applicable copyright laws and regulations.

4. Membership Payments:

4.1 What Are the Guidelines Around Payment for BuzzyClub

Membership fees for BuzzyClub are charged at the beginning of each month using the payment method provided by the member upon registration. All payments will be made via the Mighty Networks platform: https://www.app.buzzy.club

Members authorize Mighty Networks to charge the designated payment method for the applicable membership fees on a recurring monthly basis.

The membership fees for BuzzyClub are outlined upon registration and may be subject to change. BuzzyClub reserves the right to modify the membership fees at any time, with a minimum of 30 days advance written notice provided to members. Any changes to the membership fees will be communicated to members via email or through the BuzzyClub platform.

Members agree to make timely payments to maintain their membership status. It is the responsibility of the member to ensure that the payment method on file is valid and up to date. Failure to make payments may result in the suspension or termination of membership. In the event of a payment failure, BuzzyClub may attempt to notify the member to rectify the situation. However, BuzzyClub reserves the right to suspend or terminate membership immediately if payment issues persist or if the member fails to respond to payment reminders.

Members understand and agree that BuzzyClub is not liable for any consequences resulting from the suspension or termination of membership due to non-payment, including but not limited to loss of access to BuzzyClub's resources and services.

By registering for membership with BuzzyClub and providing payment information, members acknowledge and agree to the terms and conditions related to payment, including recurring billing, fee changes, and consequences of non-payment.

4.2 Membership Discounts

In the event of members signing up for BuzzyClub during a discount offering, the discounted rate will be applicable for the duration specified in the discount package. If the discount is offered as a lifetime membership rate, the discounted rate will remain in effect as long as the member maintains an active membership with BuzzyClub.

For members who join during a discounted promotional period with a specified end date, the discounted rate will end on the date stated in the discount package. Upon expiration of the discount period, the membership fee will revert to the standard monthly rate unless otherwise specified.

For lifetime members who have been granted a discounted lifetime membership rate, the discounted rate will remain in effect for the duration of their membership, provided they maintain an active membership status. However, if a lifetime member terminates their membership, the discounted rate will no longer apply if they choose to rejoin BuzzyClub at a later date.

If a lifetime member terminates their membership and subsequently decides to rejoin BuzzyClub, they will be subject to the current monthly membership rate applicable at the time of rejoining. The discounted lifetime rate will not be reinstated for returning members.

BuzzyClub reserves the right to modify or discontinue any discount offerings at its discretion. Members will be notified in advance of any changes to discount rates or promotional offers.

By signing up for BuzzyClub during a discount offering, members acknowledge and agree to the terms and conditions related to discount rates, including duration, termination, and eligibility for returning members.

4.3 BuzzyClub Ambassador Program

BuzzyClub also offers an Ambassador Program, providing members with the opportunity to receive discounts, perks, or other benefits by successfully referring a specified number of new members to the BuzzyClub platform. The Ambassador Program is designed to reward members for their efforts in promoting BuzzyClub and expanding its community. 

BuzzyClub currently offers Ambassadors a cash compensation for successfully referring members that maintain their subscription for a minimum of 60 days. Compensation is determined based on a tiered referral program as follows:

  1. Bronze Level: Refer 1-2 members and receive 10% of the first month’s paid fee.

  2. Silver Level: Refer 3-10 members and receive 15% of the first month’s paid fee.

  3. Gold Level: Refer 11+ members and receive 20% of the first month’s paid fee.

Ambassadors maintain their tiered ambassadorship level dependent on the number of current BuzzyClub members. Ambassadors must also successfully refer a new member within 12 months of the last successful referral to maintain their ambassadorship. Should an Ambassador reach 12 months and 1 day without a new, successful member referral, the Ambassador will move to the lowest Ambassador level currently available. 

BuzzyClub reserves the right to update or modify the terms and conditions of the Ambassador Program at any time, without prior notice. Any changes to the Ambassador Program terms will be effective immediately upon posting on the BuzzyClub platform or other means of communication deemed appropriate by BuzzyClub.

Members participating in the Ambassador Program are encouraged to review the terms and conditions periodically for any updates or changes. Continued participation in the Ambassador Program following the posting of any modified or updated terms constitutes acceptance of those changes by the member.

BuzzyClub may also, in its sole discretion, provide notice of significant changes to the Ambassador Program terms through prominent notifications on the BuzzyClub platform or other means as deemed appropriate. Members are responsible for regularly reviewing the Ambassador Program terms to stay informed of any updates or changes.

By participating in the Ambassador Program, members acknowledge and agree to the possibility of modifications or updates to the program terms, and agree to review them periodically for any changes.

5. Pause or Termination of Membership:

5.1 Can Members Pause their Membership

If members find themselves in need of a temporary break from monthly payments while still wishing to maintain their membership with BuzzyClub, we offer a membership pause option for up to two months per calendar year. This allows members to temporarily suspend their monthly payments without canceling their membership altogether.

It's important to note that if a member was enrolled in a discounted membership at the time of pausing, BuzzyClub reserves the right to remove the discount when the membership resumes. This means that upon the resumption of membership after the pause period, the membership fee may revert to the standard monthly rate applicable at that time.

BuzzyClub requires that members provide a minimum of 30 days notice before requesting a membership pause. This advance notice allows us to process the pause request and adjust the member's account accordingly.

During the membership pause period, members will temporarily lose access to BuzzyClub's resources and services. However, members can rest assured that their membership status and account information will remain intact, and they will be able to resume full access to BuzzyClub upon the end of the pause period.

Members are responsible for initiating the membership pause request through their BuzzyClub account or by contacting our customer support team. BuzzyClub reserves the right to deny or modify membership pause requests at its discretion.

By utilizing the membership pause option, members acknowledge and agree to the terms and conditions outlined above, including the potential removal of discounts upon membership resumption and the requirement of 30 days notice before pausing membership.

5.2 What Are the Guidelines for Termination of Membership

BuzzyClub reserves the right to terminate or suspend a member's access to the platform for any violation of these terms and conditions, including but not limited to non-compliance with payment obligations, unauthorized use of BuzzyClub's resources, or any behavior deemed inappropriate or detrimental to the community.

Members may terminate their membership at any time by canceling through the BuzzyClub platform. To cancel membership, members can navigate to their account settings and follow the designated cancellation process outlined on the platform. Upon cancellation, members will no longer have access to BuzzyClub's resources and services. Please note that members will not be reimbursed for the current month if they quit during the billing cycle, but they will not be charged for the following months. If Members wish to pause their membership, they are required to reach out to BuzzyClub a minimum of 30 days prior to the proposed pause date.

Please note that any discounted membership rates enjoyed by members are subject to become void upon cancellation. If a member cancels their membership and later decides to return to BuzzyClub, the discounted rate previously applied may no longer be available, and the membership rate will revert to the standard rate applicable at the time of rejoining.

BuzzyClub reserves the right to modify or discontinue any discount offerings at its discretion. Members will be notified in advance of any changes to discount rates or promotional offers.

By accepting these terms and conditions, members acknowledge and agree to the termination and cancellation policies outlined above, including the potential voiding of discounted rates upon cancellation and the process for terminating membership through the BuzzyClub platform.

6. Disclaimers:

6.1 BuzzyClub Makes No Promises About Outcomes

BuzzyClub makes no guarantees regarding the success or outcomes of DIY PR (Do-It-Yourself Public Relations) efforts undertaken by members. While BuzzyClub provides educational resources, tools, and guidance to assist members in developing their PR skills and strategies, the effectiveness of these efforts ultimately depends on various factors beyond BuzzyClub's control, including individual implementation, market conditions, and external influences.

BuzzyClub is not liable for any losses, damages, or consequences resulting from member actions based on the education and tools provided. Members acknowledge and agree that they assume full responsibility for their PR activities and decisions, and that BuzzyClub shall not be held liable for any negative outcomes or repercussions arising from member actions, including but not limited to financial losses, reputational damage, or legal liabilities.

6.2 Is BuzzyClub a Certification Program in Any Way

BuzzyClub is not a PR certification program of any kind. While BuzzyClub provides valuable educational resources and tools to help members learn about PR practices and strategies, completion of BuzzyClub's program does not constitute certification or accreditation in the field of public relations. Members understand and acknowledge that participation in BuzzyClub's program does not confer any formal certification or professional accreditation in PR.

By accessing and using BuzzyClub's resources and participating in its program, members acknowledge and agree to the above disclaimers and limitations of liability. Members understand that BuzzyClub's role is strictly educational in nature, and that they are solely responsible for their PR activities and outcomes.

7. Conduct:

Members agree not to engage in any conduct that violates applicable laws or regulations, whether local, national, or international. This includes but is not limited to laws related to intellectual property, privacy, defamation, harassment, discrimination, and other legal obligations. Members are expected to conduct themselves in a lawful and ethical manner while using BuzzyClub's resources and participating in its community.

Furthermore, BuzzyClub does not tolerate hate speech, discriminatory language, or content that promotes violence, harm, or harassment based on race, ethnicity, gender, religion, sexual orientation, disability, or any other protected characteristic. Hate speech and discriminatory behavior have no place in the BuzzyClub community and will not be tolerated under any circumstances.

Members are expected to treat each other with respect, civility, and professionalism, and to refrain from engaging in any behavior that may be considered offensive, discriminatory, or harmful to others. Any instances of hate speech, discriminatory language, or inappropriate conduct will be taken seriously and may result in disciplinary action, up to and including termination of membership, at the discretion of BuzzyClub.

By agreeing to these terms and conditions, members acknowledge and agree to abide by these guidelines and expectations for conduct. BuzzyClub reserves the right to enforce these rules and take appropriate action in response to violations, in order to maintain a safe, inclusive, and respectful environment for all members.

8. Modifications to Terms:

BuzzyClub reserves the right to modify or update these terms and conditions at any time, without prior notice. Any changes to these terms and conditions will be effective immediately upon posting on the BuzzyClub platform. Members are encouraged to review the terms and conditions periodically for any updates or changes.

In the event of modifications or updates to these terms and conditions, BuzzyClub will make reasonable efforts to notify members of such changes. Notification may be provided through email, notification on the BuzzyClub platform, or other means as deemed appropriate by BuzzyClub.

Continued use of the BuzzyClub platform following the posting of any modified or updated terms and conditions constitutes acceptance of those changes by the member. If a member does not agree to the modified or updated terms and conditions, they should discontinue use of the BuzzyClub platform and terminate their membership.

BuzzyClub may also, in its sole discretion, provide notice of significant changes to these terms and conditions through prominent notifications on the BuzzyClub platform or other means as deemed appropriate. Members are responsible for regularly reviewing these terms and conditions to stay informed of any updates or changes.

By accepting these terms and conditions, members acknowledge and agree to the possibility of modifications or updates to these terms and conditions, and agree to review them periodically for any changes.

9. Governing Law:

These terms and conditions are governed by the laws of the State of New York, United States of America. Any disputes, claims, or legal proceedings arising out of or related to these terms and conditions, including but not limited to disputes regarding their interpretation, validity, enforcement, or breach, shall be exclusively governed by and construed in accordance with the laws of the State of New York.

Any legal action or proceeding arising from or related to these terms and conditions shall be brought exclusively in the state or federal courts located in the State of New York. By accepting these terms and conditions, members hereby consent to the exclusive jurisdiction and venue of such courts in any such legal action or proceeding.

Members agree to waive any objection to the jurisdiction of such courts and to waive any right to a jury trial in any such legal action or proceeding. Members further agree that any claim or cause of action arising out of or related to these terms and conditions must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

These terms and conditions constitute the entire agreement between members and BuzzyClub regarding the use of BuzzyClub's resources and participation in its program, and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between members and BuzzyClub regarding the subject matter herein.
